Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Rakontevr AI, Inc. (“Rakontevr,” “we,” “us,” or “our”) governing your access to and use of the Rakontevr platform, including BuilderHub, the RSP Gateway, MCP services, AI inference APIs, DGX compute infrastructure, CLI tools, SDKs, documentation, and all related services (collectively, the “Service”).

By creating an account, accessing, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization and that the organization agrees to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) and capable of forming a legally binding contract. By using the Service, you represent and warrant that you meet these requirements and that all registration information you provide is truthful, accurate, and complete. We reserve the right to verify your eligibility at any time.

3. Early Access and Beta Services

The Service is currently available under an invite-only Early Access / Private Beta. Beta features, APIs, and infrastructure may be incomplete, contain errors, or change without notice. We may add, modify, suspend, or discontinue any feature at any time without liability.

Beta services are provided for evaluation purposes and carry no uptime, availability, performance, or support guarantees. Your participation in the beta does not create any entitlement to continued access, future features, or commercial terms.

We may revoke your early access at any time, for any reason or no reason, with or without notice.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials (including API keys, service keys, and access tokens) and for all activities that occur under your account. You must immediately notify us at security@rakontevr.ai of any unauthorized use or security breach.

Rakontevr is not liable for any loss or damage arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

5. Use of the Service

5.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal development purposes.

5.2 Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or third-party right
• Infringe, misappropriate, or violate any intellectual property, privacy, or publicity rights
• Use the Service to develop, train, or distribute malware, spyware, ransomware, or any malicious software
• Attempt to gain unauthorized access to our systems, networks, infrastructure, or other users' accounts or data
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any proprietary component
• Use the Service to build a competing product or service, or to benchmark the Service for competitive purposes without our written consent
• Resell, redistribute, sublicense, or commercially exploit the Service without a separate written agreement
• Circumvent, disable, or interfere with any security, rate limiting, metering, or access control mechanism
• Use the Service in a manner that could damage, disable, overburden, or impair the platform or interfere with any other party's use
• Use AI-generated outputs from the Service to create content that is deceptive, fraudulent, defamatory, harassing, or that violates applicable laws
• Submit or process data through the Service that you do not have the lawful right to use, process, or disclose

5.3 Enforcement

We may investigate and take action against violations of these Terms, including suspending or terminating your access, removing content, or reporting violations to law enforcement. We are not obligated to monitor use but reserve the right to do so.

6. AI Services and Generated Output

The Service provides access to artificial intelligence capabilities including code generation, inference, agent orchestration, and automated development tools. You acknowledge and agree that:

• AI output is not guaranteed to be accurate, complete, secure, or fit for any particular purpose. AI-generated code, text, suggestions, and other outputs may contain errors, vulnerabilities, biases, inaccuracies, or omissions.
• You are solely responsible for reviewing, testing, validating, and verifying all AI-generated output before incorporating it into your applications, deploying it to production, or relying on it for any purpose.
• Rakontevr has no obligation to test, validate, audit, or verify your applications, products, or services that are built using the Service. We provide development tools; the responsibility for the quality, correctness, security, and compliance of your products rests entirely with you.
• Rakontevr does not warrant that AI-generated output will not infringe third-party intellectual property rights. You are responsible for ensuring that your use of AI output complies with applicable laws, licenses, and third-party rights.
• AI models and capabilities may change, improve, or be deprecated without notice. We do not guarantee consistency of output across model versions.

7. Your Content and Data

7.1 Ownership

You retain all rights, title, and interest in and to your content, code, data, and materials that you submit to or create through the Service (“Your Content”). These Terms do not grant us any ownership rights in Your Content.

7.2 License to Rakontevr

You grant Rakontevr a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, process, adapt, and display Your Content solely as necessary to: (a) provide and operate the Service; (b) improve and develop the Service (using aggregated, anonymized, or de-identified data only); (c) comply with legal obligations; and (d) enforce these Terms. This license survives termination only to the extent necessary for backup, archival, and legal compliance purposes.

7.3 Your Responsibilities

You represent and warrant that you have all necessary rights to submit Your Content and that Your Content does not violate any law, regulation, or third-party right. You are solely responsible for maintaining backups of Your Content. While we take reasonable measures to protect data, we are not a backup service and shall not be liable for loss of Your Content.

8. Intellectual Property

Rakontevr and its licensors retain all rights, title, and interest in and to the Service, including all software, algorithms, models, APIs, documentation, designs, trademarks, trade names, logos, and other intellectual property (“Rakontevr IP”). These Terms do not grant you any right to use Rakontevr trademarks, logos, or brand features without our prior written consent.

Feedback, suggestions, or improvement ideas you provide regarding the Service (“Feedback”) may be used by Rakontevr without restriction or obligation to you. You hereby assign to Rakontevr all rights in any Feedback.

9. Billing, Payment, and Metering

Paid features are billed according to the pricing published on our website or communicated at signup. Usage-based charges (inference tokens, GPU compute, API calls, data transfer, CI minutes) are metered and billed according to our published rates.

• You authorize us (or our payment processor) to charge your payment method for all applicable fees.
• All fees are non-refundable except where required by applicable law or as expressly stated in a separate written agreement.
• We may change pricing at any time with at least thirty (30) days' prior notice. Continued use after the effective date of a price change constitutes acceptance.
• Failure to pay may result in suspension or termination of your access. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
• You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.

You agree to indemnify, defend, and hold harmless Rakontevr, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or any AI-generated output
• Your Content or any data you submit to the Service
• Applications, products, or services you build, deploy, or distribute using the Service
• Your violation of these Terms or any applicable law
• Your infringement of any third-party right, including intellectual property, privacy, or contractual rights
• Any claim by a third party related to the performance, security, or functionality of your products built using the Service

13. User Responsibility for Testing and Quality

You acknowledge and agree that:

• Rakontevr provides development tools, not finished products. The Service assists you in building software; it does not build, test, certify, or warrant your software on your behalf.
• You bear sole responsibility for the testing, validation, quality assurance, security auditing, regulatory compliance, and fitness for purpose of any application, product, or service that you develop using the Service.
• Rakontevr has no duty to review, test, audit, certify, or validate your applications or their outputs, even if those applications use Rakontevr APIs, agents, or AI capabilities.
• You are responsible for reporting bugs, errors, or issues you discover in the Service through our designated channels. However, Rakontevr makes no commitment regarding the timing or manner of any fix, patch, or resolution.
• You must not use the Service for safety-critical, life-support, or mission-critical systems without independent verification and validation processes that do not rely on the Service.

14. Third-Party Services and Integrations

The Service may integrate with or rely on third-party services (cloud providers, payment processors, AI model providers, identity providers). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to those providers' terms and policies.

15. Confidentiality

During the Early Access / Private Beta period, features, capabilities, pricing, and documentation not yet publicly available are considered confidential. You agree not to disclose confidential information to third parties without our prior written consent, except as required by law.

16. Termination

16.1 By You

You may close your account at any time by contacting us or through account settings (when available). You remain liable for all charges incurred prior to termination.

16.2 By Rakontevr

We may suspend or terminate your access immediately, without prior notice, for any reason, including: breach of these Terms, non-payment, suspected fraud, legal requirements, or at our sole discretion during the beta period. We shall not be liable for any damages resulting from termination.

16.3 Effect of Termination

Upon termination: (a) your license to use the Service ceases immediately; (b) we may delete Your Content after a reasonable retention period (currently 30 days, subject to change); (c) sections of these Terms that by their nature should survive (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive termination.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and update the “Effective Date.” For material changes, we will provide notice through the Service (e.g., in-app banner or email). Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

19. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rakontevr and supersede all prior agreements.
• Severability: If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: Rakontevr shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or third-party service outages.
• Export Compliance: You agree to comply with all applicable export control and sanctions laws. You may not use the Service if you are located in a sanctioned country or are on any government prohibited party list.
